Vodafone Idea Secures Rs 5,836 Crore from Vodafone Group Under Liability Settlement Agreement

Goodreturns
Vodafone Idea will receive Rs 5,836 crore from Vodafone Group through a revised settlement agreement addressing pre-merger liabilities.

Summary

Vodafone Idea is set to receive approximately Rs 5,836 crore from Vodafone Group as part of a revised settlement agreement concerning liabilities originating before the 2017 merger of Vodafone India and Idea Cellular. The agreement involves Rs 2,307 crore to be paid over the next year and the allocation of 328 crore shares of Vodafone Idea, valued at Rs 3,529 crore, which Vodafone Idea can instruct Vodafone to sell.

The Contingent Liability Adjustment Mechanism (CLAM), established during the merger, initially capped Vodafone’s maximum exposure at Rs 8,369 crore, which was reduced to Rs 6,394 crore after prior payments. The deadline for the original agreement was extended to December 31, 2025, but the amended terms now result in the Rs 5,836 crore payment to Vodafone Idea.

This financial arrangement is strategically important for Vodafone Idea, providing a significant boost as it addresses ongoing operational challenges and legacy issues from the merger. The funds and potential share sales are intended to support the company’s financial stability and ensure its future viability.
