Summary

In 2000, Unilever acquired Ben & Jerry's with a Merger Agreement that established an Independent Board to oversee the company's social mission and brand integrity. Over time, conflicts arose, leading to a 2022 lawsuit when Unilever licensed Ben & Jerry's trademarks in the Occupied Palestinian Territories without Board approval. The case settled with Unilever agreeing to source ingredients from Palestinian suppliers and make payments, but the Board alleges Unilever failed to disburse funds, blocked free speech initiatives like calling for a Gaza ceasefire, and interfered with the CEO and the Ben & Jerry's Foundation. In December 2025, Magnum demerged from Unilever, taking Ben & Jerry's with it, and subsequently pressured the Foundation, removed independent directors, and altered governance, escalating the dispute.
